What does a registered agent do in Colorado?
A Colorado registered agent receives legal process, such as lawsuits and subpoenas, and official notices on behalf of the business. The agent’s name and street address are part of the entity’s public summary page on the Secretary of State’s website, so anyone serving your company knows where to go.
Because service has to happen in person at that address, the Secretary of State defines a usual place of business as a place where the agent can physically receive documents during normal business hours.
Who qualifies as a registered agent in Colorado?
The definition is in Colorado law at C.R.S. § 7-90-701, and the Secretary of State’s registered agent FAQ lists separate tests for people and for businesses. Since July 1, 2025, individual agents must verify Colorado residency with a driver’s license or state ID number.

The mailbox rule is the one that catches people out. A rented box at a shipping store may look like a street address, but nobody there can accept a summons on your behalf, so Colorado does not allow it as the agent’s physical location.
