Indiana charges nothing to change a registered agent: the Statement of Change of Registered Agent (State Form 56367) has no filing fee, as of October 2026. Every Indiana LLC and corporation must continuously keep a registered agent and a registered office at a physical Indiana street address. The agent can be an Indiana resident aged 18 or older or a business authorized in Indiana, but a business cannot serve as its own agent.
So the real question is not cost but who should do the job. For most owners we recommend Mainstay Filing at $149 a year, and below we explain the rules, the alternatives and how to file the change through INBiz.

Why Indiana requires a registered agent
The Indiana Secretary of State’s registered agent FAQ explains the purpose: the agent is the designated person or business that receives legal documents and official notices for your entity. If your company is sued, the summons goes to the agent at the registered office.
Indiana organizes these rules in the Uniform Business Organizations Code, Indiana Code chapter 23-0.5-4. The agent’s name and address are public in the business search, so this is the address courts and the public associate with your company. Foreign companies registered to do business in Indiana must keep an Indiana agent under the same rules.
Indiana registered agent requirements
Commercial or noncommercial
Indiana’s code sorts agents into two groups. A commercial registered agent is a business that lists itself with the Secretary of State to serve many entities. A noncommercial agent is anyone else, such as an owner, a family member or an attorney, serving one or a few companies.
Who qualifies
- An individual who is an Indiana resident and at least 18 years old.
- A business entity authorized to do business in Indiana.
What is not allowed
- A business serving as its own registered agent. The state FAQ says this directly.
- A P.O. box in place of a physical Indiana street address.
The agent should be available at the registered office during regular business hours so that papers can be delivered in person.
Does it cost anything to change an Indiana registered agent?
No. Indiana’s Statement of Change of Registered Agent (State Form 56367) carries no state filing fee, under Indiana Code § 23-0.5-4-6. You can file the change online through INBiz or use the paper form.
| Indiana filing | State fee |
|---|---|
| Statement of Change of Registered Agent (State Form 56367) | $0 |
| Business Entity Report (biennial), online | $32 |
| Business Entity Report (biennial), by mail | $50 |
| Articles of Organization, paper (State Form 49459) | $100 |
Because switching is free, you can change agents as often as your situation requires. The only cost is the annual fee of a commercial agent, if you choose one.
How to change your registered agent in Indiana
- Choose the new agent. Confirm it is an Indiana resident or an Indiana-authorized business, and get its exact name and street address. If it is a commercial agent, check its listing with the Secretary of State.
- Log in to INBiz and select the business you want to update.
- File the Statement of Change of Registered Agent, entering the new agent’s details. On paper, use State Form 56367.
- Submit. No fee is due.
- Verify the new agent in the business search and notify the old one.
A commercial agent will usually complete this filing as part of signing you up.
Before you switch: a short checklist
- Confirm the new agent’s Indiana street address is a staffed location, not a mailbox.
- Ask how served documents will reach you and how quickly they appear in your account.
- Compare the first-year and renewal price so the second year holds no surprises.
- Check that your Business Entity Report is not overdue, so the company stays in good standing while the change goes through.
Being your own agent in Indiana: pros and cons
As an Indiana resident aged 18 or older, you can name yourself. Your LLC, as a business, cannot name itself. Think about the following before you decide.
| Pros | Cons |
|---|---|
| No annual agent fee | Your street address is public in the business search |
| You receive papers directly | You must be available during business hours |
| Free to switch later | Not an option if you live outside Indiana |
| Simple for owners with a staffed office | Being served at home or at work can be disruptive |
Owners near the state’s borders, in Lake and Porter counties outside Chicago or in the Louisville and Cincinnati metro areas, sometimes live across the state line. If you do, you cannot serve as your own Indiana agent and need a resident or a commercial agent.
Indiana’s Business Entity Report and next steps
Indiana LLCs file a Business Entity Report every two years, due by the last day of the anniversary month. Companies formed in an even year file in even years and odd-year companies in odd years. The fee is $32 online or $50 by mail, and under HB 1593, effective January 1, 2026, the filing window opens 90 days before the anniversary month. Missing the report can lead to administrative dissolution roughly 120 days after the due date. File it through INBiz.
