Best Registered Agent in Minnesota (2026): Is One Required? Rules, Fees and Our Pick

Minnesota is unusual: a domestic Minnesota LLC is not required to name a registered agent. Under Minn. Stat. § 322C.0201, the Articles of Organization must list a registered office street address, but an agent only “if any.” Foreign LLCs registering in Minnesota do need a Minnesota agent. When you do name or change an agent, the Notice of Change of Registered Office/Registered Agent costs $35 by mail or $55 online or in person for a domestic entity, according to the Secretary of State’s fee schedule as of October 2026.

Even when the law makes an agent optional, many owners use one to keep their home address off the record and to make sure legal papers are handled. Our recommendation is Mainstay Filing at $149 a year.

For a domestic LLC, no. Minn. Stat. § 322C.0201 requires the Articles of Organization to give a registered office address and a registered agent only “if any.” Many Minnesota LLCs list “NONE” for the agent and simply keep a registered office.

What is required is the registered office: an actual Minnesota location where the company can receive legal papers. That address is public in the Secretary of State’s business records. Entities formed in another state that register in Minnesota must designate a Minnesota registered agent.

So why do Minnesota owners still hire an agent? Mostly for privacy and reliability. Without an agent, the registered office is often the owner’s home or shop, and anyone serving the company goes there. A commercial agent can supply the registered office address and handle whatever arrives.

When a Minnesota business does name an agent, Minn. Stat. § 5.36 governs. The agent may be:

  • A natural person residing in Minnesota (at least 18).
  • A domestic corporation or limited liability company.
  • A foreign corporation or foreign LLC authorized to transact business in Minnesota.

The registered office address and the agent’s business office address must be identical. The registered office must be an actual office location, and the Secretary of State notes that a post office box by itself is not acceptable.

The Minnesota Secretary of State charges $35 by mail or $55 online or in person for a domestic entity’s Notice of Change of Registered Office/Registered Agent, according to its business filing fee schedule. Foreign corporations pay $50 by mail or $70 online or in person.

FilingBy mailOnline / in person
Change of registered office/agent, domestic$35$55
Change of registered office/agent, foreign corporation$50$70
Articles of Organization (LLC)$135$155
Annual renewal$0$0

The same form changes the registered office, the agent, or both, so a move of your office address also uses it.

  1. Decide what is changing: the registered office address, the agent, or both. A domestic LLC can also add an agent for the first time.
  2. Confirm the new address is an actual Minnesota office (not just a P.O. box) and that it matches the agent’s business office.
  3. File online through the Secretary of State’s business filing system, or mail the Notice of Change of Registered Office/Registered Agent.
  4. Pay $55 online or in person, or $35 by mail, for a domestic entity.
  5. Check the record in the Minnesota business search.

Because domestic Minnesota LLCs can list no agent, the real choice is between three setups.

SetupWho receives papersTrade-off
No agent, your own registered officeWhoever is at that officeFree, but your address is public and someone must be there
You or a colleague as named agentThat personClear responsibility, same privacy issue
Commercial registered agentAgent staff at its officeAnnual fee; keeps your address off the record

If your company was formed outside Minnesota

The optional-agent rule applies only to LLCs formed in Minnesota. A company formed in another state that registers to do business in Minnesota must list a Minnesota registered agent and registered office on its registration, and must keep them current with the same change form. For these companies the question is not whether to have an agent but who it should be.

If the registered office is your home, or you are often away, a commercial agent is worth considering. Foreign LLCs, including companies formed in Delaware that operate in Minnesota, do not get the option and must name a Minnesota agent.

Minnesota LLCs file a free annual renewal by December 31 each year, starting the year after formation, according to the Secretary of State’s annual renewal page. An LLC that misses it can be administratively terminated without further notice under Minn. Stat. § 322C.0705. Reinstatement is possible by filing the current renewal plus a reinstatement fee of $65 by mail or $85 online or in person. The renewal also lets you confirm that your registered office, and agent if you have one, are still correct.
