Does a New York LLC need a registered agent?
Not in the way most states require. Under LLC Law section 301, the Secretary of State is the agent for service of process for every New York LLC. When someone sues the company, they can serve the Secretary of State, which then mails the papers to the address the LLC has on file for that purpose.
That forwarding address is the piece owners control. It appears in the articles of organization, and it is where lawsuits will end up. If it is an old office, a former partner’s home or a mailbox nobody checks, the Secretary of State’s mailing can go unnoticed while the court clock runs.
A registered agent, under LLC Law section 302, is an additional, optional designation. When an LLC names one, process can be delivered directly to that agent as well. Many owners use a registered agent service’s address as both their registered agent and the address where the Secretary of State forwards process, so legal papers always land with someone whose job is to handle them.
Who can be a registered agent in New York?
If you choose to designate one, section 302(b) limits the options to:
- A natural person who is a New York resident or has a business address in New York
