How to Start an LLC in Iowa (2026 Guide)

An Iowa LLC is formed by filing a Certificate of Organization with the Iowa Secretary of State. The statutory filing fee is $50 (Iowa Code section 489.122, as of October 2026). Before you file, choose a name that meets Iowa’s rules and line up a registered agent; afterward, sign an operating agreement, get an EIN and register for any Iowa taxes. The ongoing requirement is a biennial report, due between January 1 and April 1 of every odd-numbered year.

Iowa is among the cheapest states to form an LLC in, and the two-year reporting cycle keeps upkeep light. The main thing to track is which odd-numbered year your first report falls in.

Iowa Code section 489.112 says an LLC name must contain “limited liability company” or “limited company,” or one of the abbreviations “L.L.C.,” “LLC,” “L.C.” or “LC.” “Limited” can be shortened to “Ltd.” and “company” to “Co.” The name also has to be distinguishable on the Secretary of State’s records from existing names.

Brainstorm first with the namechk business name generator, then check your shortlist in the Secretary of State’s business entity search. Our Iowa business name search guide shows how to search for close matches.

A few additional checks protect you later:

  • Look up federal trademarks in the USPTO database.
  • Check the matching domain and social handles with namechk.
  • If you need time, reserve the name for $10; Iowa holds a reserved name for 120 days under section 489.113, and the reservation can be transferred to another person.

Every Iowa LLC must designate a registered agent to receive service of process and official notices. The agent needs a physical address in Iowa where papers can be delivered during business hours.

You can be your own agent if you have an Iowa address and are reliably available there. If you’d rather keep your address out of the public record, or you live outside Iowa, use a commercial agent instead. Mainstay Filing includes a year of registered agent service with its formation package, and Iowa doesn’t charge a state fee to change your registered agent later. Our Iowa registered agent guide covers the requirements in detail.

Iowa’s Certificate of Organization is short. It typically asks for:

  1. The LLC’s name
  2. The street address of the registered office and the registered agent’s name
  3. The LLC’s principal office address
  4. The signature of an authorized person

Iowa doesn’t publish a fill-in paper form for this filing, so most owners file through the Secretary of State’s Fast Track Filing system online; you can also draft your own certificate that meets section 489.201. The statutory fee is $50, and Iowa law (section 489.122A) lets the Secretary of State provide an extra filing service for an added surcharge when you request it.

Iowa doesn’t require you to file an operating agreement, but the state’s LLC Act treats it as the main source of rules for how your company runs. Without one, default statutory rules apply.

A useful agreement covers ownership percentages and contributions, management and voting, distributions, transfer restrictions and what happens when a member leaves or dies. Single-member LLCs should sign one too, since it helps show the business is separate from the owner.

Apply for an EIN through the IRS once the LLC is formed. It’s free, and banks and payroll providers will ask for it.

If your LLC sells taxable goods or services or has employees, register with the Iowa Department of Revenue for sales tax and withholding, and with Iowa Workforce Development for unemployment insurance.

FinCEN’s beneficial ownership page states that U.S.-formed companies are exempt from BOI reporting under the final rule effective August 2026, so Iowa LLCs don’t file a BOI report.

Iowa LLCs report every two years instead of every year. Under chapter 489, the first biennial report is due between January 1 and April 1 of the first odd-numbered year after the year the LLC was formed, and later reports are due in the same window every odd-numbered year after that.

So an Iowa LLC formed in 2026 files its first report between January 1 and April 1, 2027, and an LLC formed in 2027 files first in 2029. The fee is $30 when filed online through Fast Track Filing and $45 on paper. There’s no statutory late fee, but missing the report can lead to administrative dissolution, which then requires a reinstatement filing.

Iowa doesn’t issue a general statewide business license. Licensing depends on your industry and location: many professions and trades need a state license, and cities and counties may require permits or zoning approval. Check with your city hall and any state board that regulates your field before opening.

Lenders and some landlords ask for proof that the LLC is in good standing. Iowa’s certificate of existence costs $5 from the Secretary of State, which is far cheaper than ordering one through a third party.

How much does it cost to start an LLC in Iowa?

Iowa Code section 489.122 sets the fee for a Certificate of Organization at $50, as of October 2026, making Iowa one of the least expensive states to form an LLC in. Reserving a name first costs $10. After formation, the LLC files a biennial report in odd-numbered years, which costs $30 online or $45 on paper.

When is the Iowa LLC biennial report due?

Iowa LLCs file a biennial report between January 1 and April 1 of the first odd-numbered year after formation, then every odd-numbered year after that, under Iowa Code chapter 489. An LLC formed in 2026 files its first report in the January 1 to April 1, 2027 window.

What words must an Iowa LLC name include?

An Iowa LLC name must contain “limited liability company” or “limited company,” or the abbreviation “L.L.C.,” “LLC,” “L.C.” or “LC,” according to Iowa Code section 489.112. “Limited” may be abbreviated “Ltd.” and “company” may be abbreviated “Co.” The name must also be distinguishable from existing names.

How long does an Iowa name reservation last?

Iowa reserves an LLC name for 120 days for the applicant’s exclusive use, under Iowa Code section 489.113. The application costs $10. The holder can also transfer the reservation to another person by filing a signed notice of transfer, which also costs $10.

Can I be my own registered agent in Iowa?

Yes. An owner with an Iowa address who is available to receive legal papers during business hours can serve as the LLC’s registered agent. Many owners still use a commercial agent for privacy and reliability. Iowa doesn’t charge a state fee to change the registered agent later.

How do I register an out-of-state LLC in Iowa?

An LLC formed in another state that wants to do business in Iowa files an application for a certificate of registration with the Iowa Secretary of State instead of forming a new company. Iowa Code section 489.122 sets that fee at $100. The foreign LLC also needs an Iowa registered agent and files biennial reports.

Does Iowa require newspaper publication for a new LLC?

No. Iowa has no publication requirement for new LLCs. Once the Secretary of State files the Certificate of Organization, the LLC exists. The remaining tasks are an operating agreement, an EIN, state tax registrations if needed, local licenses and the biennial report in odd-numbered years.
