The headline filing fee for a Nevada LLC is $75, but that is not what you pay. Nevada requires three filings together at formation: Articles of Organization ($75), an Initial List of Managers or Managing Members ($150) and a State Business License ($200), for a minimum of $425 to the Nevada Secretary of State as of October 2026.
After that, every Nevada LLC files an Annual List and renews its State Business License by the last day of its anniversary month, for $350 a year. In return you get no state income tax and a quick online process through SilverFlume, the state’s business portal. Here is each step.

Step 1: Choose a name and check it
A Nevada LLC name must include a designator that identifies it as a limited-liability company, such as “LLC” or “Limited-Liability Company,” and it must be distinguishable from names already on file with the Secretary of State. Check availability through the business entity search on SilverFlume or the Secretary of State’s site before you file.
Our Nevada business name search guide walks through the search. Then look past the state records: Namechk checks whether the matching domain and social handles are open, the business name generator can suggest alternatives, and the USPTO database shows federal trademarks that could cause problems later.
Step 2: Appoint a Nevada registered agent
Under NRS 86.231, every Nevada LLC must have a registered agent with a street address in Nevada for service of process; a P.O. box alone does not qualify. Nevada follows the Model Registered Agents Act in NRS Chapter 77, which recognizes three options:
- A commercial registered agent, an agent that represents 10 or more entities and is registered with the Secretary of State.
- A noncommercial registered agent, such as an individual Nevada resident or a business entity with a Nevada street address.
- An office or position within the LLC itself, such as a manager, if that person can accept service at a Nevada street address.
If you live outside Nevada, which is common for owners attracted by its tax rules, you will need a commercial agent. Changing agents later costs $60.
Mainstay Filing includes a Nevada registered agent for the first year in its formation package. For an agent alone, Nevada Registered Agent.co charges a flat $99 per year.
Step 3: File the Articles, Initial List and business license together
Nevada bundles formation into one packet. Through SilverFlume or the Secretary of State’s forms, you submit:
- Articles of Organization ($75), with the LLC name, registered agent, management structure and organizer.
- Initial List of Managers or Managing Members ($150), which NRS 86.263 requires at the time the articles are filed. It lists every manager, or every managing member if the LLC is member-managed.
- State Business License ($200 for an LLC) under NRS 76.100, which Nevada requires at the time the initial list is filed.
The total is $425. The State Business License is a Secretary of State registration, not a city or county license, so local licenses may still apply; see the State Business License page for exemptions, which generally do not cover LLCs. For a full breakdown of state and service costs, see the Nevada LLC cost guide from Mainstay Filing.
Step 4: Draft an operating agreement
Nevada does not require you to file an operating agreement, but every LLC should have one. It sets ownership percentages, management roles, profit distributions and what happens when a member leaves or dies.
Many owners choose Nevada for privacy and asset protection, and a well-drafted operating agreement is part of making that protection hold up. Banks will usually ask for it when you open an account.
Step 5: Get an EIN and register for taxes
Apply for a free EIN through the IRS. Nevada has no state personal or corporate income tax, but it does have sales tax and other business taxes administered by the Nevada Department of Taxation. If you sell taxable goods or hire employees in Nevada, register with the Department before you start.
Federally, a single-member LLC is a disregarded entity and a multi-member LLC is taxed as a partnership unless it elects to be taxed as a corporation.
Step 6: File the Annual List and renew the business license
Each year, by the last day of the month in which the LLC was formed, a Nevada LLC files its Annual List of Managers or Managing Members ($150, NRS 86.263) and renews its State Business License ($200, NRS 76.100). Both are filed together, usually online, for $350. You can file up to about 90 days early.
Missing the deadline adds a $75 penalty on the Annual List and a $100 penalty on the business license, $175 in total. An LLC that stays in default is revoked, and after about five years of non-compliance it can be permanently revoked.
Nevada requires the list to name all managers, or all managing members for a member-managed LLC, so keep it current. If you decide to close the LLC instead, follow the Secretary of State’s LLC dissolution steps so the annual fees stop.
Step 7: Check city and county licenses
The State Business License does not replace local permits. Cities and counties such as Las Vegas, Henderson, Reno and Clark County run their own business licensing, and many occupations require state board licenses.

Nevada LLC FAQs
How much does it cost to form an LLC in Nevada?
Forming a Nevada LLC costs at least $425 in state fees as of October 2026: $75 for the Articles of Organization, $150 for the Initial List of Managers or Managing Members, and $200 for the State Business License. All three are required at formation. Ongoing, the Annual List and license renewal cost $350 a year.
When is the Nevada annual list due?
A Nevada LLC files its Annual List of Managers or Managing Members and renews its State Business License by the last day of its anniversary month each year. Together they cost $350. Late filings add a $75 penalty on the list and a $100 penalty on the license.
Do I need a Nevada State Business License for my LLC?
Yes. Under NRS 76.100, a Nevada LLC must obtain a State Business License when it files its initial list, for $200, and renew it every year with the Annual List. The common exemptions apply to nonprofits, governmental entities and certain others, not to ordinary LLCs.
Does Nevada have a state income tax for LLCs?
No. Nevada has no state personal or corporate income tax, so LLC profits are not taxed at the state level. Federal taxes still apply, and Nevada businesses may owe sales tax and other business taxes administered by the Nevada Department of Taxation.
Can a Nevada LLC be its own registered agent?
Nevada’s registered agent law allows an LLC to designate an office or position within the company, such as a manager, to receive service of process at a Nevada street address. Alternatively, you can use an individual Nevada resident or a commercial registered agent. P.O. boxes alone are not accepted.
Does a Nevada LLC need an operating agreement?
Nevada does not require you to file an operating agreement with the Secretary of State. It is still strongly recommended, because it sets ownership, management and profit-sharing terms, supports the liability protection that draws many owners to Nevada, and is commonly requested by banks.
Who has to be listed on the Nevada initial and annual list?
Nevada requires the list to include the names and addresses of all managers of a manager-managed LLC, or all managing members of a member-managed LLC. The initial list is filed with the Articles of Organization and updated every year with the Annual List.
