How to Start an LLC in Pennsylvania (2026 Guide)

Pennsylvania LLCs are formed by filing a Certificate of Organization and a docketing statement with the Pennsylvania Department of State’s Bureau of Corporations and Charitable Organizations. The filing fee is $125 as of October 2026, and you can file online through Business Filing Services.

Since 2025, every Pennsylvania LLC also files a $7 annual report between January 1 and September 30. That makes the first-year state cost $125 and the ongoing state cost $7 a year. Pennsylvania has no newspaper advertising requirement for new LLCs, and instead of a registered agent it asks for a registered office address.

Your LLC name must show that it is a limited liability company; ending it in “LLC” or “Limited Liability Company” meets that rule. According to the Department’s filing guidelines, names that suggest a licensed profession need prior written approval from the relevant board, and words implying a bank, insurer, school or public utility require approval from the state body that regulates them.

Search existing names on the Pennsylvania business name search. If you want to hold a name before filing, Pennsylvania charges $70 for a name reservation. Our Pennsylvania business name search guide explains how to read the results.

Outside the state database, check that the .com and social handles are free with Namechk, and search the USPTO trademark database so you do not build a brand on someone else’s mark. The Namechk business name generator is handy if you need more options.

Pennsylvania is one of the few states that does not use the term registered agent for LLCs. As the Department’s business FAQ explains, it records a registered office address instead, and legal papers can be served there. Under the registration rules, every domestic company must have a Pennsylvania street address where mail can be received. P.O. boxes are not allowed.

If you have no storefront or would rather not publish your home address, you can list a Commercial Registered Office Provider (CROP) instead. A CROP supplies the Pennsylvania address and receives service of process for your LLC, which works the same way a registered agent does in other states. Changing your registered office later costs $5.

Mainstay Filing provides this service for the first year when it forms your LLC. If you are filing on your own and just need the registered office covered, PA Registered Agent.org offers it for a flat $99 per year.

Create an account on Business Filing Services and file the Certificate of Organization for a domestic LLC, along with the docketing statement. The Department of State’s LLC page confirms that both documents are filed together, that an attorney is not required to prepare them, and that no advertising is required for a domestic LLC.

Expect to provide:

  • The LLC name
  • The registered office address in Pennsylvania, or the name of your Commercial Registered Office Provider
  • The organizer’s name and signature
  • An optional effective date, and any optional provisions
  • The docketing statement, which gives the state basic contact and tax information about the new entity

Standard filings take about 15 business days. If you cannot wait, the Department offers same-day ($100), three-hour ($300) and one-hour ($1,000) service on top of the $125 fee. For a full cost picture, see the Pennsylvania LLC cost guide from Mainstay Filing.

Pennsylvania does not ask you to file an operating agreement, but it is the document that governs your LLC day to day. It should cover ownership shares, management, profit distributions, voting and what happens if a member leaves.

Even one-owner LLCs benefit from a written agreement: it supports the separation between you and the business, and banks commonly ask for it when you open an account.

Apply for a free Employer Identification Number on the IRS website. You need it for a business bank account, payroll and federal tax returns.

If you will collect Pennsylvania sales tax or withhold employee income tax, register through the Department of Revenue’s myPATH system. By default, a single-member LLC is a disregarded entity and a multi-member LLC is taxed as a partnership for federal purposes, unless the LLC elects corporate treatment.

Pennsylvania added an annual report requirement that began January 1, 2025. LLCs file between January 1 and September 30 each year and pay $7 (LLCs with a not-for-profit purpose pay $0). Filing is quick: search your company on file.dos.pa.gov, click “File Annual Report,” confirm the details and pay. Online reports are approved automatically.

The consequences start in 2027. An LLC that does not file its 2027 report becomes subject to administrative dissolution six months after the due date and loses the exclusive right to its name. A domestic LLC can reinstate by paying a reinstatement fee ($35 online, $40 on paper) plus $15 for each missed report.

Pennsylvania has no general statewide business license. Licensed professions are regulated through the Department of State’s professional licensing bureau, and many municipalities, including Philadelphia, have their own business licensing and tax registration.

If your LLC will trade under a name other than its legal name, that is a separate fictitious name registration. For a broader checklist, read our Pennsylvania start-a-business guide.

How much does it cost to start an LLC in Pennsylvania?

The Pennsylvania Department of State charges $125 to file a Certificate of Organization as of October 2026. After that, the LLC pays $7 a year for its annual report. Optional costs include a $70 name reservation, expedited processing from $100, and a Commercial Registered Office Provider if you do not use your own Pennsylvania address.

When is the Pennsylvania LLC annual report due?

Pennsylvania LLCs file their annual report between January 1 and September 30 each year, a requirement that began in 2025. The fee is $7, or $0 for LLCs with a not-for-profit purpose. Starting with 2027 reports, an LLC that does not file faces administrative dissolution six months after the due date.

Does Pennsylvania require a registered agent for an LLC?

Pennsylvania does not use registered agents in the usual sense. Instead, every LLC must list a registered office with a Pennsylvania street address where legal papers can be served, or name a Commercial Registered Office Provider. P.O. boxes are not accepted as a registered office.

Do I have to advertise my new LLC in Pennsylvania?

No. The Pennsylvania Department of State says no advertising is required when forming a domestic limited liability company. That differs from Pennsylvania corporations and from fictitious name registrations, which have their own requirements, and from states like New York that require LLC publication.

How long does it take to form an LLC in Pennsylvania?

The Department of State asks filers to allow 15 business days for processing. Online filings through Business Filing Services are the most efficient route. If timing matters, expedited service costs $100 for same-day, $300 for three-hour and $1,000 for one-hour processing, added to the $125 filing fee.

What happens if my Pennsylvania LLC misses an annual report?

For reports due in 2025 and 2026 there is no dissolution penalty, but starting with 2027 reports the Department of State can administratively dissolve an LLC six months after the September 30 due date. A dissolved LLC loses the exclusive right to its name. A domestic LLC can reinstate for $35 online or $40 on paper, plus $15 per missed report.

Do I need an operating agreement in Pennsylvania?

Pennsylvania does not require you to file or adopt a written operating agreement with the state. It is still recommended, because it sets ownership, management and profit-sharing rules, helps show the LLC is separate from its owners, and is often requested by banks and lenders.
