How to Start an LLC in Utah (2026 Guide)

Utah is one of the cheapest states to form and keep an LLC. You file a Certificate of Organization with the Utah Division of Corporations and Commercial Code through the online Business Registration System for $59, and the LLC renews each year for $18 (fees under the Division’s fee schedule effective July 1, 2025).

The renewal is due by the end of the LLC’s anniversary month, with a $10 late fee if you miss it. You will also need a registered agent with a Utah street address, an operating agreement, an EIN and, for most businesses that sell goods, a Utah sales tax license. Here is the process.

A Utah LLC name must include a designator that identifies it as a limited liability company, such as “LLC” or “Limited Liability Company,” and it must be distinguishable from names already registered with the Division. Search the Division’s business entity records before filing.

Our Utah business name search guide explains the search. Then make sure the name works online: check the domain and social handles with Namechk, try the business name generator for alternatives, and search the USPTO trademark database.

Every Utah LLC must continuously maintain a registered agent with a Utah street address or rural route; a P.O. box can be listed only in addition to the street address. Utah follows the Model Registered Agents Act approach, so your options are:

  • A commercial registered agent listed with the Division
  • A noncommercial registered agent, such as an individual or a business entity with a Utah street address
  • A designated office or position within the LLC, such as a manager, whose holder receives service at a Utah address

All registration information is public record in Utah, so many owners use a commercial agent to keep a home address off the record. Changing your agent or address later costs $17, a fee the Division waives if you file the change together with your annual renewal.

Mainstay Filing includes a Utah registered agent for the first year as part of its formation service. If you only need an agent, UT Registered Agent.org provides one for a flat $99 per year.

Utah handles formation online through the Business Registration System. You sign in with a UtahID account, complete the Certificate of Organization for a domestic LLC, and pay the $59 fee. The Division’s domestic LLC page no longer offers a downloadable paper certificate, so plan to file online; paper submissions are made through the same system after logging in.

The filing asks for the LLC name, your registered agent, the principal address, and the LLC’s organizer, managers or members as the system requires. Remember that this information becomes public, and Utah lets you substitute a business address for individuals’ private addresses.

Once the Division approves the filing, download the certificate from your account and keep it with your company records. You will need it, along with your EIN, to open a bank account and show that the LLC legally exists.

For a breakdown of state and service costs, see the Utah LLC cost guide from Mainstay Filing.

Utah does not require you to file an operating agreement. You should still have one. It records who owns the LLC, how it is managed, how profits are shared and what happens if a member leaves.

Banks commonly ask to see it, and a written agreement supports the separation between your personal assets and the business.

Apply for a free EIN with the IRS. If you sell taxable goods or services, apply for a Utah sales tax license with the Utah State Tax Commission before you start selling, and register for withholding if you hire employees.

By default, a single-member LLC is a disregarded entity and a multi-member LLC is taxed as a partnership, with profits passing through to the owners’ returns unless the LLC elects corporate treatment.

Utah calls its annual report a renewal. It is due by the last day of the LLC’s anniversary month each year and costs $18, which includes a small surcharge for the UtahID login system. File online through the Business Registration System, choosing “Annual Report/Renewal without Changes” if nothing has changed.

A late renewal adds a $10 fee. An LLC that keeps missing renewals eventually expires, which strips it of its good standing, and bringing it back requires reinstatement, which costs $54 under the current fee schedule.

Utah has no general statewide business license. Cities and counties issue local business licenses, and many trades and professions are licensed by the Utah Division of Professional Licensing.

How much does it cost to start an LLC in Utah?

The Utah Division of Corporations and Commercial Code charges $59 to file a Certificate of Organization, and the annual renewal costs $18, under the fee schedule effective July 1, 2025. A late renewal adds $10. Optional costs include a commercial registered agent and local business licenses.

When is the Utah LLC annual renewal due?

A Utah LLC renews every year by the last day of its anniversary month, the month it was originally registered. The fee is $18 and you file online through the Business Registration System. Late renewals add a $10 fee, and an LLC that stays delinquent can expire and need reinstatement.

Can I file a Utah LLC on paper?

Utah handles LLC formation through its online Business Registration System at businessregistration.utah.gov, which requires a UtahID login. The Division no longer offers a downloadable Certificate of Organization form on its domestic LLC page; paper filings are submitted through the same system after you log in.

Who can be a registered agent in Utah?

A Utah registered agent can be a commercial registered agent, a noncommercial agent such as an individual or business entity with a Utah street address, or a designated office or position within the LLC. The address must be an actual Utah street address or rural route, not just a P.O. box.

How do I change my registered agent in Utah?

File the LLC registration information change with the Utah Division of Corporations and Commercial Code. The processing fee is $17, but it is waived when you file the change together with your annual renewal. The new agent needs a Utah street address.

What happens if my Utah LLC expires?

If a Utah LLC keeps missing its annual renewal, it eventually expires and loses its good standing, which can affect contracts, loans and liability protection. To bring it back, you file for reinstatement with the Division of Corporations and Commercial Code, which costs $54 under the current fee schedule, and bring any missed renewals up to date.

Do I need a Utah sales tax license for my LLC?

You need one if your LLC sells taxable goods or services in Utah. Apply with the Utah State Tax Commission before you make your first sale. LLCs that only provide nontaxable services may not need a sales tax license, but they still register for withholding if they have employees.

Does Utah require an operating agreement?

Utah does not require LLCs to file an operating agreement with the Division. Writing one is still recommended because it sets ownership, management and profit-sharing terms, supports the LLC’s separate identity for liability protection, and is commonly requested by banks.
