Best Registered Agent in Kentucky (2026): Rules, the $10 Change Fee and Our Pick

In Kentucky, changing your registered agent takes a separate filing: the Statement of Change of Registered Agent and Office (Form RAC), which costs $10 with the Kentucky Secretary of State as of October 2026. You cannot make the change on your $15 annual report. The agent must be a Kentucky resident, or a business qualified in Kentucky, whose business address is the same as the company’s registered office, and the agent has to accept the appointment in writing.

Kentucky’s fees are among the lowest in the country, so the decision rests on reliability and privacy. Our recommendation for most owners is Mainstay Filing at $149 a year.

A registered agent is the official recipient of lawsuits, subpoenas and state notices for a Kentucky business. When your company is sued, the papers are served on the agent at the registered office listed with the Secretary of State, and the agent forwards them to you.

The registered office may be the same as one of your company’s places of business, but it does not have to be. What matters is that the agent’s business address and the registered office are the same place, and that someone can accept documents there on weekdays.

Kentucky’s Business Entity Filing Act sets one set of rules for LLCs and corporations at KRS 14A.4-010. The agent must be one of the following:

  • An individual who resides in Kentucky and whose business address is identical to the registered office.
  • An entity or foreign entity qualified to transact business in Kentucky whose business address is identical to the registered office.

The company must continuously maintain a registered office in Kentucky, and the agent must either sign the document that appoints it or deliver a written acceptance. Individual agents should be at least 18, and the office must be a physical Kentucky address rather than a P.O. box.

The Kentucky Secretary of State charges $10 for the Statement of Change of Registered Agent and Office (Form RAC), according to its fee schedule. Changing the principal office uses a separate form, also $10.

Registered office versus principal office

Kentucky records two addresses for most companies. The registered office is where your agent accepts legal papers. The principal office is your company’s main business address. They can be the same place if you serve as your own agent from your office, but changing one does not change the other, and each has its own $10 form.

One Kentucky detail trips people up: the annual report is a pre-filled, postcard-style filing, and the registered agent and principal office cannot be changed on it. If your agent changes, file Form RAC separately rather than waiting for the report.

  1. Select an eligible agent: a Kentucky resident or a Kentucky-qualified business, whose business address will be your registered office.
  2. Get the agent’s acceptance. The agent signs Form RAC or provides a written acceptance.
  3. File online through FastTrack, or download Form RAC from the Secretary of State’s forms page.
  4. Enter the company’s name and organization number, then the new agent and registered office.
  5. Pay the $10 fee.
  6. Confirm the change on your company’s record and let your former agent know.

If you hire a commercial agent, it will typically file Form RAC for you as part of onboarding. Keep a copy of the filed statement with your company records, along with the agent’s contact details, so anyone managing the business can find them later.

Yes, if you live in Kentucky and your business address can serve as the registered office. Before you decide, compare the two approaches.

Owners in the Cincinnati and Evansville areas who live across the river in Ohio or Indiana cannot serve as their own Kentucky agent. Neither can owners who simply spend much of the year away from their Kentucky address.

A middle path

Some owners name their accountant or attorney, who already handles official mail. That can work well, but confirm the person is comfortable with the role, has a Kentucky business address and will forward papers quickly.

Kentucky LLCs file a $15 annual report between January 1 and June 30, beginning the year after formation, under KRS 14A.6-010. A company that does not cure a missed report after the Secretary of State’s 60-day notice, roughly by August 31, is administratively dissolved. File through the Secretary of State’s annual reports page.

Separately, Kentucky imposes a limited liability entity tax (LLET) with a $175 minimum, administered by the Kentucky Department of Revenue rather than the Secretary of State.
