How to Start an LLC in Kentucky (2026 Guide)

Kentucky has one of the lowest-cost LLC setups in the country. File Articles of Organization with the Kentucky Secretary of State for $40, name a registered agent with a Kentucky address, and then file a $15 annual report between January 1 and June 30 every year (fees as of October 2026). An operating agreement, an EIN and state tax registration complete the setup.

The June 30 deadline is the date to protect. Kentucky administratively dissolves domestic entities that don’t file their annual reports by June 30, and reinstating costs more than staying current.

All figures come from the Secretary of State’s business filing fee schedule and annual reports page. Mainstay Filing’s Kentucky LLC costs lists them alongside service pricing.

Your name needs an LLC designator such as “Limited Liability Company,” “LLC” or “L.L.C.,” and it must be distinguishable from names already on the Secretary of State’s records. If the name you want is indistinguishable from an existing one, Kentucky does have an application for use of an indistinguishable name ($20), which requires the other entity’s consent.

Start with ideas from the namechk business name generator, then search the Secretary of State’s business database. Our Kentucky business name search guide walks through the database and explains what “distinguishable” means in practice.

Before filing, check the USPTO trademark database and confirm your domain and social handles on namechk. To hold the name while you prepare, file an application for reservation of name: it costs $15, lasts 120 days and can be renewed.

Every Kentucky LLC names a registered agent and registered office in its Articles of Organization. The agent receives lawsuits and official notices for the LLC, so the registered office needs to be a physical Kentucky address where the agent can be found during business hours.

An owner who lives in Kentucky can serve. So can a friend, an attorney or a commercial agent. If you’d rather not list your home address or worry about being available, Mainstay Filing provides a year of registered agent service as part of its formation package. Changing agents later costs $10. More detail is in our Kentucky registered agent guide.

File online through the Secretary of State’s business filing system or on paper. The fee is $40 either way. The Articles cover:

  • The LLC’s name
  • The registered agent’s name and registered office address
  • The principal office mailing address
  • Whether the LLC will be managed by its members or by managers
  • The signature of an organizer

Kentucky uses the same Articles of Organization for profit, non-profit and professional service LLCs, and the fee schedule lists all three at $40.

Kentucky doesn’t require you to file one, and the Secretary of State never sees it. But an operating agreement is how you control the things the Articles don’t: ownership splits, capital contributions, voting, profit distributions and what happens when a member leaves.

Without a written agreement, Kentucky’s default LLC rules apply. Even a single-member LLC benefits, because the agreement helps show that the company is a separate business.

Apply for an EIN on the IRS website. It’s free and takes a few minutes once your Articles are filed.

For state taxes, Kentucky Business One Stop is the state’s portal for registering for sales tax, withholding and other tax accounts. Kentucky LLCs may also owe the state’s limited liability entity tax, so review the Kentucky Department of Revenue’s guidance or ask your accountant whether it applies. Some cities and counties collect occupational license taxes too.

On the federal side, FinCEN’s beneficial ownership page states that U.S.-formed companies are exempt from BOI reporting under the final rule effective August 2026.

Every entity doing business in Kentucky files an annual report with the Secretary of State by June 30. Reports can be filed at any time from January 1 through June 30, online or by mail, with a $15 fee.

The report confirms your principal office and registered agent. The first report is due between January 1 and June 30 of the year after the LLC is formed. A newly formed LLC filing its first report submits the names and addresses of its members or managers; later reports confirm them, and you can make changes on the report itself.

What happens if you miss it?

Domestic entities that fail to file by June 30 are administratively dissolved, which leaves them inactive and in bad standing until they reinstate. Reinstatement means paying delinquent fees plus a $100 reinstatement penalty, so a $15 report filed on time is by far the cheaper choice.

Kentucky has no single statewide business license. Licensing depends on your industry and location: cities and counties often require occupational licenses, and regulated professions need a state license from their board. Kentucky Business One Stop helps you identify which permits apply to your business.

Kentucky’s Secretary of State fees, as of October 2026:

Articles of Organization$40
Reservation of name (optional, 120 days)$15
Annual report$15 per year
Change of registered agent or office$10
Certificate of existence$10
Reinstatement penalty after administrative dissolution$100

That makes the minimum first-year state cost $40, with $15 a year after that. Local occupational license taxes and any state entity tax are separate.

After formation, each Kentucky LLC files a $15 annual report between January 1 and June 30. Local occupational licenses and state taxes are separate.

When is the Kentucky LLC annual report due?

Kentucky annual reports are due by June 30 each year and can be filed any time from January 1 through June 30, online or by mail. The fee is $15. The report confirms the LLC’s principal office and registered agent and lists or confirms its members or managers.

What happens if a Kentucky LLC doesn’t file its annual report?

Domestic entities that miss the June 30 annual report deadline are administratively dissolved by the Kentucky Secretary of State, making them inactive and in bad standing. To reinstate, the LLC pays delinquent filing fees and a $100 reinstatement penalty and brings its reports up to date.

How long does a Kentucky name reservation last?

A Kentucky name reservation lasts 120 days and costs $15, according to the Secretary of State’s fee schedule. The reservation can be renewed for another $15, transferred to someone else for $15, or cancelled for $10. Reserving a name is optional if you’re ready to file Articles of Organization.

Can I be my own registered agent in Kentucky?

Yes. A Kentucky resident with a physical Kentucky address where they can accept legal papers during business hours can serve as the LLC’s registered agent, including an owner. Many owners still hire a commercial agent for privacy and reliability. Changing your registered agent or office later costs $10.

Does Kentucky require publication for a new LLC?

No. Kentucky doesn’t require new LLCs to publish a notice in a newspaper. Once the Secretary of State files the Articles of Organization, the LLC exists. The remaining steps are an operating agreement, an EIN, state tax registration through Kentucky Business One Stop, local occupational licenses and the yearly annual report.

How much does it cost to register an out-of-state LLC in Kentucky?

A foreign LLC that wants to do business in Kentucky files an Application for Certificate of Authority with the Secretary of State. The fee is $90, as of October 2026. Foreign LLCs also need a Kentucky registered agent and file the same $15 annual report by June 30 each year.
