Best Registered Agent in Pennsylvania (2026): Registered Office Rules and Fees

Pennsylvania does not technically use registered agents. Instead, every Pennsylvania LLC and corporation must list a registered office: either a Pennsylvania street address or a commercial registered office provider (CROP), which is what most people mean by a Pennsylvania registered agent. Changing your registered office costs $5 with the Department of State as of October 2026. Our recommendation is Mainstay Filing at $149 a year, with PA Registered Agent.org as a lower-cost option.

Updated October 2026.

Not by that name. The Department of State’s own FAQ answers the question directly: Pennsylvania does not utilize registered agents. Its records show a registered office address, and service of process can be sent to that address.

So the requirement is about a place, not a person. Every Pennsylvania LLC, corporation and registered foreign entity needs a registered office where lawsuits, subpoenas and official notices can be delivered. You can satisfy it in one of two ways:

  • Your own Pennsylvania address. A physical street address in Pennsylvania where someone can receive legal papers. A P.O. box does not work for this.
  • A commercial registered office provider (CROP). Pennsylvania law (15 Pa.C.S. section 109) lets a company name a CROP in place of a street address. The CROP’s Pennsylvania office on file with the Department becomes the company’s registered office, and the provider handles anything served there.

When national services advertise a “Pennsylvania registered agent,” they are acting as a CROP. The label differs from most states, but the job is the same: be at a known Pennsylvania address during business hours, accept whatever is served on the company, and get it to the owners without delay. For the rest of this page, “registered agent service” and “CROP” mean the same thing.

This is where the registered office earns its keep. If a plaintiff cannot reach your company at its registered office, the Department of State’s FAQ explains that the Secretary of the Commonwealth can accept service when a Pennsylvania judge orders it. The plaintiff pays the statutory $70 fee per defendant and the case moves forward, whether or not you knew about it.

An outdated address or an unattended home office can therefore lead to a default judgment. Keeping a reliable registered office, and updating it when you move, is the cheapest protection a Pennsylvania business has.

Using your own Pennsylvania address – Costs nothing beyond your time – Makes sense if you have a staffed storefront or office with regular hours – Puts that address in the public business record, where anyone can look it up – Requires someone to be present to accept papers, which is hard for home-based and mobile businesses

Using a commercial registered office provider – Keeps your home address off the public record – Gives you a professional Pennsylvania address that is staffed during business hours – Is the only practical choice if you live outside Pennsylvania – Means you do not have to file a change every time you move within the state

The Department of State’s fee schedule lists a Change of Registered Office at $5 as of October 2026. A CROP that changes its own address pays $5 for a Change of Registered Office by Agent, which updates its clients’ records without them filing anything.

Your annual report also lists the registered office address, so it is a natural moment to confirm the information is still right. LLCs file it between January 1 and September 30 for $7. The Department of State says that failing to file will lead to administrative dissolution beginning with annual reports not filed in 2027, so the 2026 report is the last one without that consequence.

Mainstay lays out the full set of state and service costs in its Pennsylvania LLC cost guide.

  1. Decide whether you will use your own Pennsylvania street address or hire a CROP. If you hire one, sign up first and confirm the exact name it uses with the Department.
  2. Sign in to Business Filing Services, the Department of State’s online system.
  3. Choose the Statement of Change of Registered Office (form DSCB:15-1507/5507/8625/8825; section 8825 covers LLCs) and enter the new address, or the CROP’s name and county.
  4. Pay the $5 fee and submit. Department of State filing fees are nonrefundable, even if a filing is rejected, so double-check the address or CROP name before you send it.
  5. Search your entity on the Department’s business search to confirm the new registered office appears.

Registered in Pennsylvania as an out-of-state company? Foreign LLCs and corporations registered to do business in Pennsylvania follow the same rule: they need a registered office in the Commonwealth, and most use a CROP because they have no Pennsylvania location of their own. The change fee and process are the same.

Does Pennsylvania require a registered agent?

Pennsylvania does not use the term registered agent. The Department of State records a registered office address for each business, and legal papers are served there. A company can list its own Pennsylvania street address or name a commercial registered office provider (CROP), which is the Pennsylvania equivalent of a registered agent service.

What is a commercial registered office provider in Pennsylvania?

A commercial registered office provider, or CROP, is a business that has registered with the Pennsylvania Department of State to serve as the registered office for other companies. A company that names a CROP uses the provider’s Pennsylvania office as its registered office, and the CROP receives and forwards lawsuits and official notices on its behalf.

How much does it cost to change a registered office in Pennsylvania?

The Pennsylvania Department of State charges $5 for a Change of Registered Office, according to its fee schedule as of October 2026. A commercial registered office provider that moves its own office pays $5 for a Change of Registered Office by Agent. The filing can be made online through Business Filing Services.

Can I be my own registered agent in Pennsylvania?

Yes, in effect. You can list your own Pennsylvania street address as the registered office instead of hiring a CROP. Someone needs to be there to accept legal papers, and the address becomes public. If you live outside Pennsylvania or work from home and want privacy, a commercial registered office provider is the usual choice.

How much does a CROP cost in Pennsylvania?

Commercial registered office providers set their own rates. Mainstay Filing, the provider we recommend first, charges $149 a year, holds renewals at $149, and moves your registered office over from your current provider. PA Registered Agent.org is $99 a year, flat. Pennsylvania’s own fee for the switch is just $5 for a Change of Registered Office.

When is the Pennsylvania LLC annual report due?

Pennsylvania LLCs file their annual report between January 1 and September 30 each year, and the fee is $7 according to the Department of State as of October 2026. Corporations file by June 30. The report lists the registered office address, so it is a good time to confirm that information.

What happens if a Pennsylvania business cannot be served at its registered office?

According to the Department of State, the Secretary of the Commonwealth may accept service of process when a Pennsylvania judge orders it. The plaintiff sends the court order and complaint by certified mail with a $70 statutory fee per defendant. The case can then proceed, so an out-of-date registered office can lead to a default judgment.
