Best Registered Agent in West Virginia (2026): Is One Required, Costs and Picks

West Virginia is unusual: its LLC statute says a company “may” keep an in-state agent for service of process, and the Secretary of State is appointed by law to accept service on registered businesses and forward it by certified mail. Even so, naming a reliable agent keeps lawsuits from going to an outdated address. If you appoint or change an agent, the West Virginia Secretary of State charges $15 as of October 2026. Our recommendation is Mainstay Filing at $149 a year, with WV Registered Agent.org as a lower-cost option.

West Virginia’s LLC Act takes a different approach from most states. Section 31B-1-108 provides that an LLC may continuously maintain in the state an office and an agent, with the agent’s address, for service of process. The permissive wording means West Virginia does not force every LLC to name an in-state agent the way most states do.

What fills the gap is the Secretary of State. According to its service of process FAQ, the West Virginia Secretary of State is appointed by law to serve legal process by certified mail on certain defendants, including a variety of business types registered with the office. When a proper request is filed, the Secretary of State mails the notice to the defendant, and for registered businesses also notifies the clerk of the appropriate circuit or magistrate court.

Because service through the Secretary of State only works as well as the address on file. Certified mail sent to an old office, a home you sold, or a partner who left the business can mean you learn about a lawsuit late, or not at all. A named agent with a staffed West Virginia address gives you a predictable place where legal papers arrive and a person whose job is to pass them on.

There are other practical reasons:

  • Banks, landlords, licensing bodies and business partners often ask for a registered agent on file
  • If you expand to other states, most of them do require an agent, and one provider can cover all of them
  • Using a professional agent’s address for service keeps process servers away from your home

Section 31B-1-108 lists the eligible agents:

  • An individual who lives in West Virginia
  • A domestic corporation
  • Another limited liability company
  • A foreign corporation or foreign company authorized to do business in West Virginia

An owner who lives in the state can be the agent. Owners in Ohio, Pennsylvania, Maryland, Virginia or Kentucky need a resident individual or an authorized business.

Yes, if you are a West Virginia resident. The upside is cost; the downsides are familiar:

  • Your name and address become part of the public business record
  • Legal papers will be delivered to you, possibly at home or in front of customers
  • You need to keep the address current every time you move
  • If you leave West Virginia, you no longer qualify

If you decide not to name anyone, keep in mind that the Secretary of State will mail any service it accepts to the address in your company’s record, so that address needs to stay accurate.

The Secretary of State charges $15 for an Agent, Address and/or Officer change, according to its changes page as of October 2026. The same filing updates the agent for service of process, company addresses, and officers, directors, members or managers. You can file it online through the One Stop Business Portal.

Optional expedited handling costs extra: $25 for in-person same-day or next-business-day service, $250 for two-hour and $500 for one-hour service, on top of the filing fee, per the Secretary of State’s order form.

For the full cost of a West Virginia LLC, Mainstay’s West Virginia LLC cost guide puts the state and service fees together.

  1. Choose an agent who meets section 31B-1-108 and agrees to serve.
  2. Sign in to the One Stop Business Portal.
  3. Select your business and file an agent, address and/or officer change. On paper this is Form AAO (Application to Appoint or Change Process, Officers, and/or Addresses); check “Limited Liability Company” and complete the change of agent section, which the new agent signs to consent.
  4. Enter the new agent’s name and West Virginia address, and update any other details that have changed.
  5. Pay the $15 fee and keep the electronic confirmation.

Keep the annual report current too West Virginia requires most companies to file an annual report between January 1 and June 30 each year, with a $25 fee. A late report costs $75, including a $50 late fee, and the Secretary of State warns that missing the deadline may lead to administrative dissolution or revocation. The report is also a natural checkpoint for your agent and address information.

Is a registered agent required for a West Virginia LLC?

West Virginia’s LLC statute, W. Va. Code 31B-1-108, says an LLC may maintain an in-state office and agent for service of process, so the wording is permissive rather than mandatory. The Secretary of State is appointed by law to serve process on registered businesses by certified mail. Many owners still appoint an agent so legal papers reach a reliable address.

How much does it cost to change a registered agent in West Virginia?

The West Virginia Secretary of State charges $15 for an Agent, Address and/or Officer change as of October 2026. The same filing can update the agent for service of process, company addresses and officers or members. It can be filed online through the West Virginia One Stop Business Portal.

Who can be a registered agent in West Virginia?

Under W. Va. Code 31B-1-108, the agent for service of process can be an individual who lives in West Virginia, a domestic corporation, another limited liability company, or a foreign corporation or foreign company authorized to do business in West Virginia. Owners who live out of state need one of these.

How does the Secretary of State serve a West Virginia business?

When a proper request is filed, the West Virginia Secretary of State mails a notice of service to the defendant by certified mail. For businesses registered with the office, it also forwards a notice to the clerk of the appropriate circuit or magistrate court. The notice goes to the address on file, so keeping it current matters.

When is the West Virginia annual report due?

West Virginia requires most registered companies to file an annual report and pay a $25 fee between January 1 and June 30 each year following the year they registered. The Secretary of State warns that missing the June 30 deadline can bring penalties and administrative dissolution or revocation.

Can I be my own registered agent in West Virginia?

Yes, if you live in West Virginia. Section 31B-1-108 allows an individual West Virginia resident to serve as an LLC’s agent for service of process. Your name and address become part of the public record, and legal papers will be delivered to you there. Owners who live in neighboring states need a resident individual or an authorized business.

Is a registered agent service worth paying for in West Virginia if it is optional?

Many owners think so, because a named agent gives lawsuits a reliable destination instead of relying on mail to the address on record. Mainstay Filing costs $149 a year and renews at $149, with the switch handled for you. WV Registered Agent.org costs $99 a year. Appointing or changing an agent costs $15 with the Secretary of State.
